Terms of Service

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you and Clippable Labs Inc. ("Clippable," "we," "us," or "our") governing your use of the Clippable platform, website, and services (the "Platform"). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

2. Platform Description

Clippable is an influencer marketing platform that connects content creators ("Creators") with brands and advertisers ("Brands"). The Platform enables:

• Brands to create and manage paid marketing campaigns
• Creators to discover campaigns, submit content, and earn money based on performance metrics
• Tracking of content performance across social media platforms
• Performance-based payouts to Creators for approved content

Clippable is a platform facilitator only. We do not create, endorse, or control the content produced by Creators or the campaigns created by Brands.

3. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent that you:

• Are at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Are not prohibited from using the Platform under applicable laws
• Will comply with all applicable laws, including tax obligations and advertising regulations

4. User Accounts

To use the Platform, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must provide accurate information and promptly update it if it changes. Notify us immediately at support@clippable.io if you suspect unauthorized access.

5. Creator Terms

5.1 Campaign Participation

As a Creator, you may browse available campaigns and submit content. By submitting content to a campaign, you:

• Confirm you created or have rights to the content
• Grant the Brand a license to use your content as described in the campaign
• Agree to follow all campaign requirements and guidelines
• Understand that submission does not guarantee approval or payment

5.2 Payouts

Payouts are calculated based on verified performance metrics and the campaign's rate per 1,000 views. Payouts are subject to minimum thresholds and may be delayed for verification. We reserve the right to withhold or reverse payouts if we detect fraud, manipulation, or policy violations.

5.3 Tax Responsibility

You are solely responsible for all tax obligations arising from your earnings. Clippable does not withhold taxes and will issue applicable tax forms (e.g., 1099) as required by law.

6. Brand Terms

6.1 Campaign Creation

As a Brand, you may create campaigns with specified budgets, requirements, and content guidelines. You are solely responsible for:

• Ensuring your campaigns comply with all applicable laws and regulations
• Providing clear, accurate, and lawful campaign requirements
• Reviewing and approving Creator submissions
• Any claims, disputes, or liabilities arising from your campaigns

6.2 Campaign Funding

Campaign funding is collected upfront and held to pay Creators. Unused funds may be refunded according to our refund policy. Platform fees are non-refundable once a campaign is launched.

7. FTC & Advertising Compliance

7.1 Creator Disclosure Requirements

Creators are solely responsible for complying with FTC Endorsement Guides and all applicable advertising disclosure laws. When posting sponsored content through Clippable campaigns, you must:

• Clearly and conspicuously disclose that the content is sponsored, paid, or part of an ad campaign
• Use clear language such as "#ad," "#sponsored," or "Paid partnership"
• Place disclosures where they cannot be missed
• Ensure disclosures are visible on each platform where content is posted
• Not make false, misleading, or unsubstantiated claims about products or services

7.2 Brand Responsibility

Brands are responsible for ensuring their campaigns and any claims made are truthful, substantiated, and comply with FTC regulations.

• Not requiring or encouraging Creators to make false or misleading claims
• Providing accurate information about products and services
• Monitoring Creator content for compliance with disclosure requirements

7.3 Clippable's Limited Role

Clippable is a technology platform that facilitates connections between Brands and Creators. We do not create, edit, approve, or control content Creators produce, verify disclosure compliance, or assume liability for any user's failure to comply with disclosure requirements.

YOU AGREE THAT CLIPPABLE IS NOT RESPONSIBLE FOR ANY FTC VIOLATIONS, PENALTIES, OR LEGAL ACTIONS ARISING FROM YOUR CONTENT OR CAMPAIGNS.

8. Content & Campaign Responsibility

8.1 User-Generated Content

All content created, uploaded, or submitted through the Platform is the sole responsibility of the user who created it. Clippable does not pre-screen, approve, endorse, or verify User Content.

8.2 No Liability for Content or Campaigns

Clippable expressly disclaims all liability for:

• The accuracy, legality, or appropriateness of any User Content or campaign
• Copyright, trademark, or intellectual property infringement in User Content
• False, misleading, or deceptive content or claims
• Violations of platform terms of service (TikTok, Instagram, YouTube, etc.)
• Any damages, losses, or legal actions arising from User Content or campaigns
• Disputes between Brands and Creators
• The outcome, success, or performance of any campaign

8.3 Third-Party Platform Compliance

You are solely responsible for complying with the terms of service of any third-party platform where you post content. Clippable is not responsible if your account is suspended, banned, or penalized by any third-party platform.

9. Payments & Fees

9.1 Payment Processing

All payments are processed through Stripe. By using payment features, you agree to Stripe's terms of service.

9.2 Platform Fees

Clippable charges platform fees on campaigns. Fees are disclosed before payment and are non-refundable once a campaign is launched.

9.3 Refund Policy

Campaign funds that have not been distributed to Creators may be eligible for refund. Platform fees and any funds already paid to Creators are non-refundable. Chargebacks or payment disputes may result in immediate account suspension.

10. Prohibited Conduct

You agree not to:

• Use bots, scripts, or automated tools to inflate metrics or manipulate engagement
• Submit content you do not own or have rights to
• Create fake accounts or misrepresent your identity
• Violate any applicable laws or third-party platform terms
• Post content that is illegal, harmful, defamatory, or infringes on others' rights
• Attempt to circumvent platform fees or payment systems
• Harass, threaten, or abuse other users

Violations may result in immediate termination and forfeiture of any pending payouts.

11. Disclaimers & Limitation of Liability

11.1 "As Is" Service

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPPABLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID TO US IN THE PRIOR 12 MONTHS OR (B) $100 USD.

11.3 No Guarantee of Results

We do not guarantee any specific results, earnings, views, engagement, or campaign outcomes. Past performance is not indicative of future results.

12. Indemnification

You agree to indemnify, defend, and hold harmless Clippable, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Platform
• Your User Content or campaigns
• Your violation of these Terms
• Your violation of any laws or regulations, including FTC regulations
• Your violation of any third party's rights
• Any claims by third parties related to your content or campaigns

13. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Pending payouts may be forfeited if termination is due to policy violations.

You may terminate your account by contacting support@clippable.io. Certain provisions of these Terms survive termination.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association. You waive the right to participate in class actions.

14.3 Changes to Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified via email or prominent notice on the Platform.
